    Welcome to Spyhacks.net! These Terms of Service ("Terms", "Agreement") govern your access to and use of the Spyhacks.net website (the "Site"), our software products and services (the "Services"), and any content or other materials associated with the Services (collectively, the "Content"). Please read these Terms carefully before using the Services. By accessing or using any part of the Services, you agree that you have read, understand and agree to be bound by these Terms. If you do not agree to all of these Terms, then you may not use any of the Services. This Agreement applies to all users of the Services, including users who are also contributors of Content on the Site.

    1. Changes to Terms or Services

    We may revise these Terms from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Services thereafter. However, changes addressing new functions for a Service or made for legal reasons will be effective immediately upon being posted on the Site. If you do not agree with any change(s) made to the Terms, then you must discontinue using the Services immediately. Please regularly check this page for any changes that may have been made to the Terms.

    2. Account Registration and Security

    In order to use some of the features offered by Spyhacks.net, you will need to register for an account. When you register for an account, you may be required to provide us with some information about yourself (such as your name, email address and a password). You agree that the information you provide to us is accurate and that you will keep it up-to-date at all times. You are solely responsible for the activity that occurs on your account and you must keep your password confidential. You agree to notify us immediately of any breach of security or unauthorized use of your account by contacting us at [email protected] We reserve the right to close your account at any time for any or no reason.

    3. Payments and Refunds 

    Some of the Services offered by Spyhacks.net may require payment of fees (the "Paid Services"). The specific terms and conditions for each Paid Service are posted on the Site in connection with such Paid Service. You agree to pay all fees associated with the Paid Services you purchase, and you authorize us to charge your credit card or other payment method we have on file for you, for any such fees. If your primary credit card or other payment method cannot be processed, we may charge an alternate credit card or other payment method we have on file for you. If we are unable to process any of the credit cards or other payment methods associated with your account, you agree to pay any amounts due upon demand by us. 

    Spyhacks.net may change the fees charged for any Paid Services from time to time, provided that, if the fee is increased, we will provide advance notice of at least thirty (30) days before such increase goes into effect. If you do not agree with any such fee changes, you must cancel your Paid Service(s) prior to the end of the then-current billing cycle or subscription period to avoid being charged for the next billing cycle or subscription period at the new rate. 

    The fees charged for Paid Services are fully earned upon payment. Refunds will only be considered on a case by case basis and at the sole discretion of Spyhacks.net. If a refund is granted, it will only apply to the most recent billing period for which charges were incurred and will not extend to any prior billing periods. 

    4. User Content

    We may provide you with opportunities to create, submit, post or otherwise make available content, including but not limited to text, photos, videos or other materials ("User Content"). You are solely responsible for your User Content and we act as a passive conduit for your online distribution and publication of your User Content. Your User Content must not: (i) infringe any third party’s intellectual property rights or other rights; (ii) violate any law, statute, ordinance or regulation; (iii) be false, misleading or fraudulent; (iv) be defamatory, libelous, hateful or racially or ethnically offensive; (v) promote violence or illegal activities; (vi) be obscene or sexually explicit; or (vii) contain viruses, Trojan horses, worms, time bombs, cancelbots or other similar harmful or deleterious programming routines. You may not impersonate another person in your User Content. We reserve the right to remove any and all User Content provided by you from our Services for any reason and at our sole discretion. 

    By submitting your User Content to us, you automatically and irrevocably: (i) grant to us a perpetual, non-exclusive, transferable, fully paid-up, royalty-free worldwide license to use your User Content in connection with the operation of our business; (ii) grant to us the right to sublicense the foregoing rights to third parties; and (iii) represent and warrant that you have all rights necessary to grant such licenses without infringement or violation of any third party rights. 


    5. Privacy Policy

    We care about the privacy of our users. Please read our Privacy Policy to learn what information we collect about you and how we use it.

    6. Contributions to the Services

    You may be able to contribute Content (such as comments, forum posts, reviews, text, video or audio) when using the Services. Any Content that you contribute must comply with these Terms and all applicable laws. You understand that whether or not such Content is published, we do not guarantee any confidentiality with respect to any Contributions. You are solely responsible for your Contributions and you assume all risks associated with them, including anyone's reliance on their quality, accuracy or reliability. You represent and warrant that you have all the necessary rights to your Contributions and that they will not violate any law or third-party right. We reserve the right to refuse or remove any Contributions that we deem, in our sole discretion, to be inappropriate for the Services.

    7. User Conduct and Prohibited Uses

    The following is a non-exhaustive list of the types of conduct that are prohibited when using the Services:

    (a) Violating any applicable law or regulation; (b) Infringing or violating any intellectual property right, privacy right, or other right of any person; (c) Stalking, harassing, threatening or harming another individual; (d) Posting unwanted spam or advertisements; (e) Impersonating another person; (f) Collecting personal information about users without their permission; and (g) Engaging in any other conduct that we, in our sole discretion, believe is in conflict with the spirit or intent of these Terms.

    8. Third-Party Content and Links to Other Sites

    The Services may containContent from third parties (“Third-Party Content”) as well as links to other websites or resources. We do not endorse and are not responsible for any Third-Party Content or for any content, advertising, products, services or other materials on or available from any other website or resource. You agree that we are not responsible for any loss or damage that you may incur as a result of your dealings with any third party or as a result of your reliance on any Third-Party Content. Any terms and conditions, warranties or representations associated with such dealings or reliance, are solely between you and the relevant third party.

    9. Disclaimers and Limitations of Liability

    (a) THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE AND NON-INFRINGEMENT. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. WE DO NOT GUARANTEE THE SECURITY OF THE SERVICES OR THAT THE OPERATION OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. (b) IN NO EVENT SHALL WE BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA OR USE) ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SERVICES.

    10. Indemnity

    You agree to defend and indemnify us and our officers, directors, employees and agents from any claims, liabilities, damages, losses or expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

    11. Termination and Changes to the Services

    We reserve the right to terminate your access to or use of the Services at any time for any reason, including for violation of these Terms. We also reserve the right to modify, suspend or discontinue the Services, in whole or in part, at any time for any reason with or without notice.

    12. General Terms

    (a) Assignment. These Terms are binding on you and us and our respective successors and assigns. You may not assign these Terms without our prior written consent. We may assign these Terms at any time without notice to you. (b) Severability and Waiver. If we determine that any provision of these Terms is illegal, invalid or unenforceable in whole or in part, such provision shall be ineffective as to the jurisdiction in which it is illegal, invalid or unenforceable to the extent of its illegality, invalidity or unenforceability and shall be severed from the balance of these Terms. The failure by us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision in that or any other instance. (c) Entire Agreement. These Terms set forth our entire agreement with you with respect to your use of the Services and supersede all prior agreements between us with respect to such subject matter. (d) Controlling Language. We provided these Terms in English, which is the controlling language for all purposes under these Terms. Any translation of these Terms into another language is provided solely for your convenience and you agree that in the event of any conflict between the English version and a translation, the English version controls. (e) Construction. The headings and captions in these Terms are for convenience only and shall not affect the interpretation of these Terms. All references to “including” and “include” shall be construed without limitation. These Terms do not create any third-party beneficiary rights.
